Introduction

These Terms of Use (the "Terms") constitute a legally binding agreement between The Midnight Team SAS ("Luna Park," "we," "us," or "our") and you, the user ("you," "your," or "User"). These Terms govern your access to and use of the Luna Park website (luna-park.app) and our visual scripting platform (the "Platform").

By accessing or using the Platform, you acknowledge that you have read, understood, and agreed to be bound by these Terms. If you do not agree, you may not use the Platform.

1. Eligibility and Acceptance

1.1 Eligibility

To use the Platform, you must:

  • Be at least 18 years of age, or
  • Be at least 13 years of age with the consent of a parent or legal guardian.
  • Have the legal capacity to enter into a binding agreement.

1.2 Acceptance of Terms

You must affirmatively accept these Terms upon signing up for the Platform. Your continued use of the Platform constitutes your ongoing acceptance of these Terms.

1.3 Third-Party Services

The Platform may integrate or link to third-party services, applications, or websites ("Third-Party Services"). We are not responsible for the content, privacy policies, or practices of Third-Party Services. Your use of Third-Party Services is at your own risk and subject to their respective terms.

1.4 Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via the Platform or email. Changes will take effect immediately for new users and five (5) days after notice for existing users. Your continued use of the Platform after such changes constitutes your acceptance of the revised Terms.

2. License Grant and Restrictions

2.1 License to Use the Platform

Subject to these Terms, Luna Park grants you a non-exclusive, non-transferable, revocable, and limited license to use the Platform for the purpose of building, hosting, and managing scripts and internet-based services.

2.2 Restrictions

You agree not to, directly or indirectly:

  • Modify, reverse-engineer, or create derivative works of the Platform.
  • Share, distribute, or sublicense your account or access to the Platform.
  • Remove or alter proprietary notices or marks.
  • Interfere with the Platform’s security or functionality.
  • Use the Platform for illegal or unauthorized purposes.

Violation of these restrictions may result in the suspension or termination of your account.

3. User Accounts and Security

3.1 Account Creation

To access certain features of the Platform, you must create an account ("Account"). You are responsible for providing accurate and complete information during registration.

3.2 Account Security

You are solely responsible for maintaining the confidentiality of your login credentials. You must notify us immediately of any unauthorized use of your Account. Luna Park is not liable for any loss or damage resulting from your failure to secure your credentials.

4. User Content and Responsibilities

4.1 Ownership and Responsibility

You retain ownership of all content you upload, create, or host on the Platform ("User Content"). You are solely responsible for ensuring that your User Content complies with these Terms and applicable laws.

4.2 License to Luna Park

By uploading or hosting User Content, you grant Luna Park a non-exclusive, worldwide, royalty-free license to use, reproduce, and display such content solely for the purpose of operating and improving the Platform.

4.3 Prohibited Content

You may not upload or host content that:

  • Violates intellectual property rights.
  • Is unlawful, defamatory, or harmful.
  • Violates the privacy rights of others.

Luna Park reserves the right to remove or disable access to any User Content that violates these Terms.

5. Fees and Payments

5.1 Subscription Plans

The Platform offers both free and paid subscription plans ("Subscriptions"). Subscription fees ("Subscription Fees") are due in advance and are non-refundable unless otherwise specified.

5.2 Automatic Renewal

Subscriptions automatically renew at the end of each billing cycle unless canceled. You may cancel your Subscription at any time via your Account settings.

5.3 Payment Methods

You must provide a valid payment method. All payments are processed by our third-party payment processor, Stripe, and are subject to their terms and privacy policy.

6. Intellectual Property

6.1 Luna Park’s Property

Luna Park retains all rights, title, and interest in and to the Platform, including all updates, documentation, and proprietary technology.

6.2 User Property

You retain all rights to your User Content, subject to the license granted to Luna Park in Section 4.2.

7. Confidentiality

7.1 Definition

"Confidential Information" includes any non-public or proprietary information disclosed by either party in connection with these Terms.

7.2 Obligations

Both parties agree to:

  • Use Confidential Information solely for the purposes of these Terms.
  • Protect Confidential Information with at least the same degree of care as their own confidential information.

8. Termination

8.1 Term

These Terms remain in effect as long as you use the Platform.

8.2 Termination by Luna Park

We may suspend or terminate your Account if you:

  • Violate these Terms.
  • Fail to pay Subscription Fees.
  • Engage in illegal or harmful activities.

8.3 Termination by You

You may terminate your Account at any time by canceling your Subscription via your Account settings.

9. Disclaimers and Liability

9.1 Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. LUNA PARK DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9.2 Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, LUNA PARK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE USE OF THE PLATFORM.

9.3 Indemnification

You agree to indemnify, defend, and hold harmless Luna Park from any claims, damages, or liabilities arising from your use of the Platform or your User Content.

10. General Provisions

10.1 Governing Law

These Terms are governed by the laws of France, without regard to its conflict of laws principles.

10.2 Dispute Resolution

Any disputes arising out of these Terms shall be resolved through binding arbitration on an individual basis, unless otherwise required by law.
